Terms and conditions

1. Seller

The products marketed through the website www.innovogroup.eu, hereinafter the “Site”, are sold by:

These General Conditions of Sale govern purchases made through the Site.

2. B2C and B2B customers

The Site allows the purchase of products by:

Consumers (B2C): natural persons who purchase for purposes other than their entrepreneurial, commercial, artisanal or professional activity;
Professional Clients (B2B): businesses, professionals, organizations, and other individuals who purchase as part of their professional or business activities.
The provisions of the Consumer Code reserved for Consumers apply exclusively to B2C purchases.

3. Products

Innovo Group sells, for example, consumer electronics, IT, accessories, DIY products, and other product categories listed in the online catalog.
The essential characteristics of each product are shown in the relevant product sheet.
Photographs, graphics, and images are for illustrative purposes only. Any non-substantial differences in packaging, color, packaging, or other non-essential elements do not constitute a lack of conformity of the product.

4. Availability

The availability displayed on the Site may depend on stock levels at Vonino Italia Srl, distributors and/or suppliers.
If an ordered product is subsequently found to be unavailable, the Customer will be informed promptly.
If payment has already been made and it is not possible to supply the product, the relevant amount will be refunded without undue delay.

5. Prices

The prices applicable are those displayed at the time of ordering.
For Consumers, prices are shown inclusive of VAT, unless otherwise permitted by law.
For areas of the Site intended exclusively for B2B Customers, prices may be indicated net of VAT provided this is clearly indicated.
Shipping costs and any additional costs are indicated before the final confirmation of the order.

6. Order

The Customer selects the products and places them in the cart.
Before final confirmation, you can check and correct your order details, including products, quantities, delivery address, and billing information.
Before sending the order, the total price of the products, applicable taxes, shipping costs and any additional costs are displayed.
Sending the order involves a payment obligation.

7. Conclusion of the contract

The order sent by the Customer constitutes a purchase proposal.
The contract is considered concluded with the acceptance of the order by Vonino Italia Srl, normally communicated via confirmation sent to the email address indicated by the Customer.
Vonino Italia Srl may refuse to accept an order in cases permitted by law, including product unavailability, failure to authorize payment, manifestly incorrect or incomplete information, or other substantial order anomalies.

8. Obvious errors

In the event of a manifestly incorrect price due to a material or technical error, Vonino Italia Srl will inform the Customer before processing the order.
The Customer can confirm the purchase at the correct price or cancel the order and obtain a refund of any amount already paid.

9. Payments

Payment methods displayed during checkout are accepted, which may include:

  • credit or debit cards;
  • electronic payment systems;
  • bank transfer;

other systems that may be made available on the Site.
The actual availability of each method is indicated during the purchase process.
Transactions carried out through external payment service providers are also subject to their terms of service.

10. Billing

The Customer is responsible for the accuracy of the tax information provided.
B2B customers may be asked to provide their VAT number, SDI recipient code and/or certified email address.

11. Shipping

The products are delivered to the address indicated in the order.
The applicable shipping costs will be communicated before the purchase is confirmed.
The delivery times indicated on the Site are an estimate, unless a binding deadline is expressly indicated.
For Consumers, the mandatory provisions of the Consumer Code remain in force.

12. Receipt of goods

Upon delivery, the Customer is invited to check:

  • packaging integrity;
  • any visible damage;
  • number of packages;
  • delivery matched the order.

In the presence of visible damage, it is advisable to indicate a specific reservation to the carrier, describing the damage found.
The absence of reservation to the carrier does not entail the loss of the inalienable rights recognized to the Consumer by law.

B2C PURCHASES

13. Right of withdrawal

The Consumer may withdraw from the contract without providing any reason within 14 days from the date on which the Consumer, or a third party designated by him other than the carrier, acquires physical possession of the goods.
In the case of multiple goods ordered at the same time and delivered separately, the term starts from the delivery of the last good.
The Consumer can communicate the withdrawal via:

  • the electronic withdrawal function available on the Site;
  • email to the address dedicated to returns;
  • standard withdrawal form;

any other explicit declaration of your decision to withdraw as required by law.
The use of the standard form is not mandatory.

14. Return

After communicating the withdrawal, the Consumer must return the product within 14 days.
Return address:
Vonino Italia Srl Returns Office - Via Filzi 18 - 26027 Rivolta d'Adda (CR).

Unless Vonino Italia Srl communicates otherwise, the direct cost of the return is borne by the Consumer.
The product must be adequately packaged for transport.
The Consumer is responsible for any decrease in value of the product resulting from handling other than that necessary to establish its nature, characteristics and functioning.
Simply opening the packaging to check the product does not automatically result in the loss of the right of withdrawal.

15. Refund

In the event of a valid withdrawal, Vonino Italia Srl will refund the payments received, including any standard delivery costs paid by the Consumer.
Any additional costs resulting from choosing a more expensive delivery method than the standard delivery offered will not be refunded.
The refund will be made without undue delay and in any case within the terms established by law.
Vonino Italia Srl may withhold the refund until the products are received or until the Consumer demonstrates that they have been sent back, whichever is earlier.
Refunds are normally made using the same payment method used for the purchase, unless otherwise agreed.

16. Exceptions to withdrawal

The right of withdrawal does not apply in the cases provided for by art. 59 of the Consumer Code, including, where relevant:

  • products made to measure or clearly personalized;
  • sealed goods which are not suitable for return for hygiene or health protection reasons and which have been opened after delivery;
  • sealed software, audio or video recordings whose seal has been removed;
  • digital content in the cases provided for by the legislation;

other hypotheses expressly provided for by law.
Any exclusions applicable to a specific product must be communicated prior to purchase.

17. Legal guarantee

Products sold to consumers are covered by the legal guarantee of conformity provided for by articles 128 et seq. of the Consumer Code.
For new goods, Vonino Italia Srl is liable for defects of conformity that appear within two years of delivery, as provided by applicable legislation.
In the event of a lack of conformity, the Consumer has the right to the remedies provided by law.
First of all, if the conditions apply, the Consumer can request the repair or replacement of the product free of charge.
In the cases provided for by law, you may obtain a proportional reduction in the price or termination of the contract.
The legal guarantee is provided by Vonino Italia Srl as the seller.

18. Manufacturer's warranty

Any commercial guarantees offered by manufacturers are additional to the legal guarantee.
The manufacturer's commercial guarantee does not replace or limit the rights of the Consumer towards Vonino Italia Srl.

B2B PURCHASES

19. B2B Conditions

The provisions of the Consumer Code reserved for Consumers do not apply to purchases made by businesses, professionals, and entities in the course of their business.
These Conditions, any specifically agreed commercial conditions and the provisions of the Civil Code apply.

20. B2B Returns

The 14-day right of withdrawal provided for Consumers does not apply to B2B purchases.
Any commercial returns may be authorized by Vonino Italia Srl on a case-by-case basis and may be subject to specific conditions.
No B2B returns not previously authorized will be automatically considered accepted.

21. B2B Guarantee

For B2B purchases, the provisions of the Civil Code regarding the guarantee for defects apply, unless otherwise expressly agreed.
Any commercial guarantees from the manufacturer remain applicable according to their relevant terms.

22. B2B Commercial Conditions

Vonino Italia Srl can recognize to Professional Clients:

  • reserved price lists;
  • discounts;
  • minimum quantities;
  • payment terms;
  • promotions;
  • logistical conditions;

personalized offers.
Access to B2B conditions may be subject to verification of company data.
Reserved conditions may be modified for future orders.

FINAL PROVISIONS

23. Force majeure

Vonino Italia Srl will not be liable for delays or failures to perform due to force majeure events or unforeseeable and unreasonably controllable circumstances, without prejudice to the mandatory rights of Consumers.

24. Intellectual property

Trademarks, logos, texts, graphic elements, databases and original contents of the Site are protected by applicable law.
Brands, names, and images belonging to manufacturers or third parties remain the property of their respective owners.

25. Privacy

Personal data is processed in compliance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation.

27. Applicable law

These Terms are governed by Italian law.
For Consumers residing in other States, any mandatory provisions established by the applicable legislation for their protection remain unaffected.

28. Competent court

For disputes with a Consumer, the court established by the applicable mandatory provisions shall have jurisdiction and, in particular, that of the place of residence or domicile of the Consumer in the cases provided for by law.
For B2B relationships, unless otherwise agreed in writing, the Court of Rome has exclusive jurisdiction.

29. Changes

Vonino Italia Srl may update these Conditions.
The Conditions in force at the time of conclusion of the relevant contract apply to orders.
